Editor's Note: Because we're a tech incubator, most people think the majority of our graduates are hoodie-wearing 21 year olds. We have some of those, sure, but that's missing the point. With startups it's not about demographics, but rather psychographics. And when I dig into the target psychographic values and beliefs we've unearthed from both our basic product-market fit research and our Admissions Personality Test, I can only think of one person; Steve Jobs.

Series K Has Anyone Done This?

Orrick is pursuing a new financing tool that they are calling "series K". They describe it as a tool to issue preferred stock to investors over time at multiple valuations and terms without having to create new term sheets every time. They say that series K avoids the problems of convertible debt and the limitations and expense of dealing with series seed funding when terms and valuations change.

Does anyone have any experience with this? What do you think of it?

Here's an overview from their info sheet:

The charter of the start-up would contain standard series K preferred terms including reference to three or more classes of series K preferred stock (i.e. series K-1 preferred, series k-2 preferred...).

Standard terms would be similar to series seed (liquidation preference, right to convert to common, vote with common and select, and common protective provisions)

The valuation or liquidation preference for each class of series K preferred would be determined by the initial sale of the applicable class of series K preferred.

Series K preferred would also permit filing of a "certificate of designation" for each class of series K preferred (i.e. to permit additional terms of series K preferred if needed).

The company and the investors would only need to sign a stock purchase agreement to set the price for the class and no additional agreements would be needed. This permits the founders the ability to raise series K preferred over time without knowing upfront the valuation and permit multiple valuations over time.

I've heard of the cereal Special K. I've heard of the evil Coach K from Duke. This is the first I've heard of Series K - don't like it. Seems as if you are limiting your negotiating options and the only advantage would be if you are not doing well - but that presents its own set of problems.
